Parties & engagement

This Matchmaker Agreement (this "Agreement") is entered into as of the date you sign below (the "Effective Date") between 4Keeps Matchmaking Services ("4Keeps," "we," "us," or "our") and the individual who signs below ("you" or "Client"). By signing, you engage 4Keeps to provide dedicated, remotely delivered matchmaking and personal-assistant staffing services on the plan you selected (your selected plan), billed every two weeks. This Agreement incorporates 4Keeps' published Terms and Privacy Policy by reference.

Services & tasks performed

We will assign you a dedicated matchmaker who works remotely on your behalf. Depending on your plan and direction, the tasks performed may include: defining and refining your match criteria; proactively sourcing and researching potential matches across dating platforms, our network, social and professional channels, and referrals; screening and vetting candidates; reaching out to and corresponding with potential matches on your behalf; coordinating and scheduling introductions and dates; managing and, if you elect the add-on, building or refreshing your dating-app profiles; and providing you with periodic updates. You may direct the focus of this work within the scope of matchmaking, but we control the manner, means, methods, tools, and personnel used to perform it.

Hourly plan & effort

Your plan includes a set number of service hours per two-week cycle (for example, Essential 10 hours, Focused 20 hours, Priority 30 hours). Hours are applied at our reasonable discretion across the channels most likely to produce results, and some channels have natural weekly limits (for example, platform caps on new outreach). Unused hours do not roll over between cycles unless we agree otherwise in writing. You may upgrade, downgrade, or pause your plan by contacting your matchmaker; changes take effect at the start of the next two-week cycle.

Success fee

In addition to your plan fees, a one-time success fee of five hundred U.S. dollars ($500) becomes due if you enter a dating or exclusive relationship with a person we introduced you to, or with whom we initiated or managed contact on your behalf (including through a dating-app profile we operate for you), and that relationship reaches ninety (90) days, measured from your first date with that person. The success fee does not apply to a person you met entirely on your own without our involvement. It is earned once per person, is charged in addition to your plan fees rather than credited against them, and is non-refundable once charged. It remains payable if the 90-day mark is reached after you have paused or cancelled your membership.

We track the introductions we make and will check in with you, and where appropriate with the other person, around the 30, 60, and 90 day marks to confirm where things stand. You agree to answer those check-ins accurately and to tell your matchmaker if a relationship becomes exclusive. If the relationship ends before the 90th day, no success fee is due. You authorize us to charge the success fee to your payment method on file or to invoice you for it, as described in the Automatic Payment Authorization.

Optional add-on services

Some services are optional and are charged separately from your plan: one-on-one coaching sessions, the dating-app profile makeover, and, on request, a background check on a specific person. We will tell you the price before we begin any add-on, and no add-on is charged unless you ask for it.

Independent-contractor relationship

4Keeps performs the Services as an independent contractor. Nothing in this Agreement creates an employment, partnership, or joint-venture relationship, and the only agency created is the limited authority for us to contact and correspond with potential matches on your behalf. Our matchmakers and staff are personnel of 4Keeps and are not your employees or contractors; you are not responsible for their wages, taxes, benefits, or insurance, and 4Keeps is solely responsible for compensating its own personnel.

Your responsibilities

You agree to provide accurate, current, and complete information; to respond to your matchmaker in a reasonable and timely manner; to treat introduced individuals and our staff with courtesy and respect; to conduct yourself lawfully and honestly; and not to use the Services for any unlawful, harassing, deceptive, or commercial purpose. Delays or inaccurate information may reduce the results we can achieve within your hours.

No guarantee of results

Matchmaking is a personal, good-faith, human service. We do not and cannot guarantee any particular number of candidates, introductions, dates, relationships, or marriage, or any other specific outcome. Your fees pay for the professional time and effort described above, not for a guaranteed result.

Term, renewal & cancellation

This Agreement begins on the start date confirmed by your matchmaker and continues on a recurring two-week basis until cancelled. You may cancel at any time by giving at least thirty (30) days' written notice to info@4keepsmatchmaking.com or your matchmaker; your membership and billing continue through the end of that 30-day notice period, after which no further charges are made. You may instead pause your membership at any time, which suspends billing until you resume and does not require 30 days' notice. We may suspend or terminate the Services for non-payment, breach of this Agreement, or materially false information, without refund of fees already earned.

Confidentiality & Non-Disclosure (NDA)

In the course of the Services, each party may receive confidential information about the other and about third parties. We will keep your personal information confidential and will not reveal your identity or contact details to a potential match without your approval, as described in our Privacy Policy. In turn, you agree to keep confidential all non-public information you receive through the Services.

"Confidential Information" includes the names, photographs, contact details, personal circumstances, and any identifying or private information of potential matches, other members, and clients that we share with you; 4Keeps' methods, sources, candidate lists, screening criteria, pricing, and business processes; and any communications we conduct on your behalf. You agree to use Confidential Information solely to evaluate and pursue introductions we facilitate, and not to disclose, publish, post online, screenshot-share, sell, or otherwise misuse it, or to use it to harass, stalk, or contact any person outside the introduction process.

You agree not to use Confidential Information to circumvent 4Keeps, and you will not solicit, recruit, or divert our matchmakers, staff, sources, or introduced individuals away from the Services for the purpose of avoiding fees owed to us. These obligations do not apply to information that is or becomes public through no fault of yours, that you already lawfully possessed, or that you are legally compelled to disclose. Your confidentiality obligations survive termination of this Agreement. Because unauthorized disclosure may cause harm that money alone cannot fully remedy, you agree that 4Keeps may seek injunctive relief in addition to any other available remedy.

Assumption of risk, release, limitation of liability & indemnification

Meeting and dating other people carries inherent risk. You interact with, communicate with, and meet any match or introduced person entirely at your own risk, and you are responsible for taking your own safety precautions. 4Keeps does not conduct criminal background checks or identity verification and does not supervise, control, or take responsibility for the conduct, statements, or accuracy of information of any match, member, client, or third party.

You release and discharge 4Keeps and its owners, employees, contractors, matchmakers, and affiliates from any and all claims, demands, damages, and liabilities of every kind, known and unknown, arising out of or in any way connected with any interaction, communication, date, or relationship with any person we introduce.

To the fullest extent permitted by law, 4Keeps and its owners, employees, contractors, matchmakers, and affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any lost profits, data, or goodwill, or for any personal injury, emotional distress, or property damage, arising out of or relating to the Services, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages. In no event will 4Keeps' total aggregate liability for all claims relating to the Services exceed the total amount you actually paid to 4Keeps in the three (3) months immediately preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless 4Keeps and its owners, employees, contractors, matchmakers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your interactions with any other person, your breach of this Agreement, or your violation of any law or the rights of any third party.

Governing law, binding arbitration & class-action waiver

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before starting arbitration, you agree to contact us at info@4keepsmatchmaking.com and to try in good faith to resolve the dispute for at least thirty (30) days.

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator, seated in Los Angeles County, California (or by videoconference, or, for smaller claims, on documents, at your election). Judgment on the award may be entered in any court of competent jurisdiction.

To the fullest extent permitted by law, all claims must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and 4Keeps each waive any right to a jury trial and any right to participate in a class action. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect Confidential Information or intellectual property. You may opt out of this arbitration and class-waiver provision by emailing info@4keepsmatchmaking.com within thirty (30) days of signing; opting out will not affect any other term of this Agreement.

Fees

You agree to pay the recurring fee for your selected plan, plus any add-ons you elect, billed every two weeks. Your first cycle begins on the start date confirmed by your matchmaker, and each cycle's fee is due on that cycle's start date. You also agree to pay the one-time $500 success fee described in the Matchmaker Agreement if and when it becomes due.

Authorization

You authorize 4Keeps and its third-party payment processor to automatically charge the payment method you provide for these recurring fees, for any add-ons you elect, for the success fee if it becomes due, and for any late fees described below, on a two-week basis until you cancel under the cancellation terms above. You agree to keep your payment information current and authorize us to securely store it (with our processor) for these recurring charges. No charge is made today.

Failed, late & returned payments; late fee

Each cycle's fee is due on its start date and is past due if not received within five (5) days of that due date. A late fee of $25 applies to each past-due cycle. If a charge or ACH debit fails or is returned unpaid, we may re-attempt it, add the $25 late fee to your next scheduled payment or invoice, and pause the Services or suspend your matchmaker's work until your balance is current. Late fees are in addition to the fees you already owe and are not a penalty but a reasonable estimate of the added cost of late and returned payments. You are responsible for any applicable taxes. You may revoke this authorization by cancelling your membership with the required 30 days' written notice.
